Overview

Given the small size of the Singapore market, Singapore SMEs must expand overseas as early as possible. While there are many ways of overseas expansion, franchising remains one of the most tried and tested ways many Singapore SMEs rely on. It is the recipe behind the success stories of Singapore’s most successful and well-known brands, which include Ya Kun Kaya Toast, Brotzeit, Old Chang Kee, Banyan Tree, and EtonHouse.

While many SMEs are eager to explore franchising, they often do not know where and how to start. Also, many SMEs rush into franchising without an awareness of the risks, and end up with disputes with franchisees, loss of revenue, brand value and reputation due to poor franchisees and franchise systems, intellectual property rights disputes, and unnecessary tax exposure.

While there are many compelling reasons to franchise one’s business, SMEs need to do so in with a long-term approach, and ensure that they have a franchising strategy to maximise growth, minimise tax, manage intellectual property and overall legal risks that can threaten their overall business.

Speaker Profile

Bernard Chung is the Managing Director of Clearwater Law Corporation, a boutique law firm specialising in corporate, commercial, intellectual property, technology and estate planning law. The firm advises SMEs, MNCs and start-ups across various industries, and helps them manage their legal risks and maximise value extraction in their joint ventures, franchising and licensing, supply chains, and mergers and acquisitions.

Bernard has advised on and assisted with the franchising of Singapore brands such as Brotzeit, Ya Kun Kaya Toast, Julia Gabriel Centre, Berries, and Mr. Bean, across markets spanning Australia, Cambodia, the People’s Republic of China, Hong Kong, India, Indonesia, Japan, Korea, Malaysia, the Philippines, Taiwan, Thailand, the United States of America, and Vietnam. He graduated from the National University of Singapore with an Honours degree in Law, and has been in the legal profession for about 10 years. Before setting up Clearwater Law Corporation, he was in the mergers and acquisitions department of a leading Singapore law firm and was also in-house counsel for one of the world’s leading luxury and lifestyle conglomerates.

Chris Loh is the Managing Director of SYNOTax Pte Ltd, a boutique tax advisory firm that specialises in providing practical and sound tax planning solutions. Its clientele spans a diverse range of MNCs and SMEs from industries such as technology, private equity fund management, manufacturing, financial services, legal, food and beverage and technology.
SynoTax differentiates itself by its focus on being nimble, client-focused and well-known for tax advisory services which are of a ‘Big Four’ standard but not at ‘Big Four’ rates.

Chris graduated from Singapore Management University with an Honours degree in Accountancy and Business Management and has been in the tax profession for about 10 years. He also holds a Masters in Taxation from UniSim and is an accredited tax advisor from the Singapore Institute of Accredited Tax Professionals. He was formerly in the tax department of a Big Four audit firm.
